1. Acceptance
By accessing the website, submitting an inquiry, accepting a quote, creating an account, completing a payment, or using our services, you agree to these Terms. If you act for a company or organization, you confirm that you have authority to bind that organization.
2. Services
LUMOS AI LIMITED provides smartclaw and related AI software, configuration, technical consulting, implementation, integration, and support services. Specific deliverables, service period, pricing, acceptance criteria, and service levels are stated in the checkout page, order, quote, statement of work, or separately signed agreement.
3. Accounts and Acceptable Use
- You must provide accurate account, contact, billing, and payment information.
- You are responsible for keeping credentials confidential and for activity under your account.
- You must not use the services for unlawful, harmful, fraudulent, infringing, abusive, spam, unauthorized monitoring, or security circumvention purposes.
- You must not reverse engineer, bypass access limits, disrupt service operations, or attempt unauthorized access to our or third-party systems.
4. AI and Professional Use
AI-assisted features may produce incomplete or inaccurate outputs. You are responsible for appropriate human review, testing, operational controls, and compliance checks. Outputs in medical, education, financial, legal, or other high-risk contexts should not replace qualified professional judgment.
5. Payments, Taxes, and Paddle
We may use Paddle for checkout, payment processing, subscription management, taxes, invoices, refunds, disputes, and buyer support. For Paddle transactions, Paddle may act as merchant of record, collect payment, calculate and collect applicable taxes, provide receipts or invoices, and process payment risk, refunds, and disputes. Your bank or payment statement may show Paddle or a related merchant name.
Unless agreed otherwise in writing, fees are payable in the currency, amount, and billing cycle shown on the checkout page, order, or quote. Applicable taxes may be calculated and displayed by Paddle at checkout.
6. Subscriptions, Renewals, and Cancellation
If a service is sold as a subscription, the checkout page or order will state the billing cycle, renewal date, and price. Unless you cancel before renewal, the subscription may renew automatically for the same cycle. smartclaw subscription cancellation may take effect immediately, as shown in the account page, Paddle checkout, or order documents.
7. Intellectual Property
We and our licensors retain all rights in the website, software, models, workflows, documentation, branding, templates, configurations, and underlying technology. Unless agreed otherwise in writing, you receive a limited, non-exclusive, non-transferable license to use the deliverables during the service period. You retain lawful rights in data, content, and business materials that you provide.
8. Confidentiality and Data
Each party must protect non-public business, technical, product, pricing, customer, and security information received during the relationship. You are responsible for having the rights and permissions needed to provide data to us and for complying with applicable privacy, data protection, export control, and industry rules.
9. Third-Party Services
The services may connect to Paddle, cloud providers, model providers, communication tools, analytics tools, or other third-party services. Third-party services are governed by their own terms and policies. We are not responsible for interruptions, changes, pricing, or data processing by third parties beyond what applicable law requires.
10. Suspension and Termination
We may modify services for security, compliance, maintenance, or product improvement. If you breach these Terms, fail to pay, create security risk, or create legal risk, we may restrict, suspend, or terminate access. Termination does not affect payment obligations, confidentiality duties, or terms that should reasonably survive.
11. Disclaimers and Liability
To the maximum extent permitted by law, services are provided as is and as available. We do not guarantee that services will be error-free, uninterrupted, or suitable for every particular purpose. Except for liability that cannot be limited by law, we are not liable for indirect, incidental, special, punitive, or consequential damages. Our total liability for any claim is limited to the amount you paid for the relevant service in the 12 months before the claim arose.
12. Governing Law
Unless agreed otherwise in writing, these Terms are governed by the laws of the Hong Kong Special Administrative Region. The parties should first attempt to resolve disputes through good-faith discussions; if unresolved, either party may bring proceedings in a court of competent jurisdiction.
